SUPPLEMENTAL ORDER

 

 

DISPOSITION: APPLICATION GRANTED

 

On August 11, 1995, PacifiCorp, dba Pacific Power & Light Company (PP&L or Company) was authorized to enter into an agreement to sell an approximate one-half interest in Lloyd Center Tower (LCT) and related parking facilities to A.P. Development and Services Corporation. See Order No. 95-856.

 

On September 22, 1995, PP&L notified the Commission in writing that the transaction closing has been delayed from the original September 1, 1995, date and that the purchasing entity has changed to Lloyd District Properties Limited Partnership (Purchaser), an Oregon limited partnership. The new purchaser is an affiliate of both A.P. Development and Services Corporation (APDS) and Ashforth Lloyd Properties, Inc., a sister company of APDS and general partner of the purchaser.

 

PP&L is requesting authorization to close the previously approved purchase and sales agreement, with Lloyd District Properties Limited Partnership, and that the authorization become effective for accounting purposes on closing on or before October 31, 1995. PP&L represents that there have been no material changes to the agreement terms stated in its original application in this docket. After its review, staff concurs with PP&L.

 

There are no material differences between the agreement with the new purchaser and the agreement approved in Order No. 95-856. Therefore, the Commission grants approval of PP&L’s purchase and sales agreement with Lloyd District Properties Limited Partnership.

 

Ordering conditions contained in Order No. 95-856 remain unchanged.

 

ORDER

 

IT IS ORDERED that:

 

The application of PacifiCorp, dba Pacific Power & Light Company, to close the previously approved agreement, with Lloyd District Properties Limited Partnership, an Oregon limited partnership, to sell an approximate one-half interest in Lloyd Center Tower and related parking facilities, for accounting purposes effective on closing, on or before October 31, 1995, is granted. Unless changed in this order, all conditions stated in Order No. 95-856 remain in effect.
